Frequently Asked Questions

About business and intangibles valuation

How is the value of a business determined?
Tangible assets, intangible assets and the business's capacity to generate results are analyzed together. The methodology is selected according to the objective: a sale, a succession, the entry of a partner or accounting measurement each call for different approaches.
Which intangible assets can be valued?
Brands, patents, franchises, concessions, digital assets, customer portfolios and contractual rights. They are determinants of competitive advantage and often represent a substantial part of the total value of the business.
When is an intangible asset valuation necessary?
In mergers, spin-offs and reorganizations; for royalty payments; in the assignment of rights; to secure collateral and venture capital; to monitor brand value over time; and to protect the company's competitive advantage.
Why is the value of a company higher than that of its physical assets?
Because a relevant part of the value resides in elements that do not appear in the inventory: the brand, the customer portfolio, patents, processes and market position. Leaving them out produces an incomplete reading of the real value of the business.
What documentation supports the valuation of a brand or patent?
The registration with the IMPI (the Mexican Institute of Industrial Property) if one exists, recent financial statements and, where applicable, licensing or royalty agreements. Unregistered intangibles can also be valued if they have an identifiable economic benefit.
How is a brand that does not yet generate direct revenue valued?
The market approach or the royalty method is used, estimating what licensing a comparable asset would cost. The value rests on the expected future economic benefit of the asset.
How often should the value of intangibles be reviewed?
In corporate groups with regular financial reporting, the review is usually annual. It is the most common practice when intangibles represent a significant part of the company's value.
What is the difference between valuing a brand by royalties and by discounted cash flows?
The royalty method estimates what licensing an equivalent asset would cost; the discounted cash flow method projects the future economic benefit that the brand directly generates within the business. One or the other is chosen depending on whether the asset generates separately identifiable revenue.
Can a company's know-how be valued?
Yes. Know-how is the specialized knowledge, techniques and processes a company needs to operate and succeed. It is valued as an intangible asset, through a process more complex than that of a brand or a patent.
How is software or a digital platform valued?
With income, cost, market and real options methods, considering its performance, the protection of its intellectual property and its capacity for innovation. The value reflects the future benefits it can generate.
Can a new company be valued?
Yes. Even without historical data, methods such as discounted cash flow (DCF), multiples, replacement cost or venture capital allow a reasonable estimate based on projections and market potential.
